Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Cost Me (“Cost Me,” “we,” “us,” or “our”) governing your access to and use of the Cost Me mobile application, this website, and any related services, content, and features (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

The Service provides personal-finance calculators, behavioural tools, document-processing features, and related functionality intended to help users reflect on financial decisions. The Service is provided for informational and personal-use purposes only. The Service is not a registered investment advisor, broker-dealer, tax advisor, financial planner, legal counsel, or other regulated professional. Nothing made available through the Service constitutes investment, tax, accounting, legal, or other professional advice. You should consult qualified professionals before making any financial decisions. Any projections, calculations, or forward-looking statements made available through the Service are illustrative estimates based on inputs you provide and do not guarantee any outcome.

You represent and warrant that you are at least 18 years of age, have the legal capacity to enter into these Terms, and will use the Service in compliance with these Terms and all applicable laws.

Certain features of the Service may require account registration. You agree to provide accurate, current, and complete information during registration and to maintain and update such information. You are solely responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

The Service may offer paid subscription plans (each, a “Subscription”), including without limitation Cost Me+. Subscriptions are billed and processed through the applicable platform provider (for iOS users, Apple Inc.) in accordance with that platform's terms. Subscriptions automatically renew at the conclusion of each billing period at the then-current rate unless cancelled at least twenty-four (24) hours before the end of the current period. You may manage or cancel your Subscription through your platform provider's account settings. Except as required by applicable law, all fees are non-refundable; refunds, where available, are handled by the platform provider.

Subject to your compliance with these Terms, Cost Me grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Service solely for your personal, non-commercial use. All rights not expressly granted are reserved by Cost Me. The Service, including, without limitation, all content, software, designs, trademarks, and other intellectual property contained therein, is owned by Cost Me or its licensors and is protected by applicable intellectual property laws.

You agree not to, and not to permit any third party to: (a) copy, modify, distribute, sell, lease, sublicense, or otherwise commercially exploit the Service; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service; (c) interfere with, disrupt, probe, scan, test the vulnerability of, or circumvent any security features of the Service; (d) access or use the Service for any unlawful, fraudulent, abusive, or harmful purpose; (e) submit false, misleading, infringing, or otherwise unlawful content to the Service; (f) use any automated means to access the Service or extract data therefrom; (g) impersonate any person or entity or misrepresent your affiliation with any person or entity; (h) use referral mechanisms in a manner that violates these Terms or applicable law; or (i) use the Service in any manner that could damage, disable, overburden, or impair the Service.

You retain ownership of any content you submit to the Service. By submitting content, you grant Cost Me a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, transmit, display, and distribute such content for purposes of operating, providing, and improving the Service. You represent and warrant that you have all rights necessary to grant the foregoing license and that your content does not infringe or violate the rights of any third party or applicable law.

The Service may interoperate with, integrate, or contain links to third-party services, including, without limitation, app-store platforms, identity providers, payment processors, and other third-party tools. Your use of any third-party service is subject to that service's terms and policies. Cost Me is not responsible for any third-party service, and your use of any third-party service is at your own risk.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COST ME EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COST ME DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT OR CALCULATIONS PROVIDED THROUGH THE SERVICE ARE ACCURATE, RELIABLE, OR COMPLETE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COST ME OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT COST ME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COST ME'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO COST ME IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

You agree to defend, indemnify, and hold harmless Cost Me and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including, without limitation, reasonable attorneys' fees) arising from or related to (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including, without limitation, any intellectual property right or privacy right; or (d) any content you submit to the Service.

We may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. You may stop using the Service at any time. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of any disputes arising out of or relating to these Terms or the Service, except where prohibited by applicable law.

We may modify these Terms at any time at our sole discretion. We will post the modified Terms on the Service and update the “Last Updated” date above. Material changes will, where reasonably practicable, be notified within the Service. Your continued use of the Service following any such modification constitutes your acceptance of the modified Terms.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Cost Me regarding the Service and supersede all prior or contemporaneous understandings.
